General Counsel / Chief Compliance Officer

Level: C-Suite Department: Legal Location: Florida HQ / Remote-OK Classification: W-2

Mission

Be the company's chief legal officer and compliance owner — contracts, IP, employment, federal contracting law, securities, and the SOC2 / privacy posture that lets us sell to enterprise and federal customers.

Responsibilities

  • Own all contract review — customer, vendor, teaming, employment, IP
  • Lead federal-contracting compliance: FAR/DFARS, OFCCP, ITAR/EAR posture
  • Manage outside counsel for IP, securities, M&A, and litigation
  • Own the company's privacy and data-handling posture (GDPR, CCPA, HIPAA where applicable)
  • Lead SOC2 and CMMC readiness from the legal / policy side
  • Advise the board on governance, equity, and securities matters
  • Build and run the company's ethics and whistleblower program

Required qualifications

  • JD from an ABA-accredited law school + active US bar admission
  • 8+ years of legal practice; 3+ years in-house at a tech or federal-services company
  • Demonstrated federal-contracting law experience (FAR/DFARS, GAO protests)
  • Strong commercial contract drafting and negotiation track record

Preferred qualifications

  • Florida bar admission
  • Prior General Counsel role at a small-to-mid-cap company
  • Working knowledge of AI/ML regulatory landscape (EU AI Act, NIST AI RMF)
  • Security clearance (Secret or above)
